Thinking about launching your business in the Gulf? Bahrain could be the perfect place to start. With 100% foreign ownership in many fields, a business-friendly setup process, and no corporate tax (except for the oil and gas sector), Bahrain is an attractive destination for entrepreneurs from India and around the world. In this blog, we’ll break down everything you need to know about company formation in Bahrain, from structure options and required documents to the entire business setup process for foreigners in Bahrain.

Why Start a Business in Bahrain?

  • In several industries, 100% foreign ownership is permitted.
  • No corporate tax for non-oil companies
  • Direct access to the Saudi and GCC markets
  • Transparent regulations and digital government services
  • Modern infrastructure and a skilled workforce

If you’re an Indian entrepreneur or business owner, forming a company in Bahrain offers a powerful gateway into the Middle East.

For Indian Entrepreneurs: Why Bahrain is the Next Big Move

Bahrain actively encourages Indian investment through simplified processes and attractive incentives. Indian professionals, SMEs, and corporates benefit from:

  • Accelerated registration assistance
  • Cultural and economic links between India and Bahrain
  • Robust network of expatriates
  • And most importantly, there is a growing demand for Indian talent and services – especially in healthcare, education, and technology.

Business Setup Process in Bahrain for Foreigners

  1. Choose an Appropriate Business Structure

You can register as:

  • With Limited Liability Company (WLL) – Similar to an LLC, ideal for most startups and SMEs.
  • Branch Office – Best for existing companies looking to enter Bahrain.
  • Single Person Company (SPC) – Great for solo founders.

Most foreigners go with Bahrain LLC registration due to its flexibility and legal protection.

2. Pick a Business Activity

Your company must match with an authorized activity that the Ministry of Industry and Commerce has listed. Specific sectors, such as banking or education, require additional approvals.

3. Reserve a proper trade name for yourself.

Your business name can be applied for. Do so via the Sijilat portal. Bahrain’s trade name rules must be obeyed.

4. Prepare Your Documents

For Individual Investors:

  • Passport copy
  • Address proof
  • Resume or business background
  • A Certificate of No Objection may be applicable.

For Corporate Shareholders:

  • Certificate of Incorporation (attested)
  • MOA & AOA (attested)
  • Board Resolution
  • Power of Attorney
  • Audited financials (latest year)

The Bahrain Embassy with the MOFA must legalize all foreign documents.

5. Draft Your Memorandum of Association (MOA)

Explains the business’s scope, capital, and shareholder roles. It must be notarised in Bahrain.

6. Get the Required Permissions

Some activities need prior ministry permission, such as:

  • Bahrain’s Central Bank
  • Ministry of Education
  • Ministry of Health

7. Apply for Commercial Registration (CR)

This is your business license. You can apply online with the help of a professional consultant, such as Helpline Group.

8. Open a Business Bank Account

Build a corporate bank account with a local or international bank in Bahrain.

9. Lease an Office

You’ll need a physical address with a lease contract. Some businesses can start with a virtual office.

10. Register with LMRA (If Hiring Employees)

Register with the Labour Market Regulatory Authority to sponsor work visas.
